Terms of Service

1. Agreement to Terms

By accessing or using Cloudymonkey.com ("the Platform", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you (or the company you represent) and Cloudymonkey.com. They apply to all users of the Platform including subscribers, agents, and visitors to the marketing site.

2. Description of Service

Cloudymonkey is a B2B SaaS platform providing:

• Real-time flight search and availability via third-party APIs
• Quote creation and management tools for travel professionals
• Flight booking facilitation (Cloudymonkey acts as a technology intermediary — the booking contract is between your client and the airline/carrier)
• Pricing intelligence and margin optimisation tools (the "Intelligence" feature)

Cloudymonkey is designed exclusively for professional use by licensed travel agents, boutique travel agencies, and corporate travel organisers. It is not intended for use by consumers booking travel for personal use.

3. Eligibility & Account Registration

• You must be at least 18 years old and legally authorised to enter into commercial agreements in your jurisdiction
• You must be acting in a professional capacity as a travel agent, agency, or corporate travel organiser
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorised use of your account at support@cloudymonkey.com

4. Subscription & Payment

4.1 Plans

Cloudymonkey offers tiered subscription plans. Current pricing is displayed on the Pricing page. All prices are in GBP and exclusive of VAT unless stated otherwise.

4.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed via our payment provider. By subscribing, you authorise recurring charges
• Failure to pay may result in suspension or termination of your account

4.3 Cancellation

• You may cancel your subscription at any time via your account settings or by contacting support
• Cancellation takes effect at the end of the current billing period — no pro-rata refunds are issued for partial months

4.4 Price Changes

We reserve the right to change subscription prices with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform or its underlying infrastructure
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated tools (bots, scrapers, crawlers) to extract data from the Platform without written permission
• Resell or sublicense access to the Platform to third parties without our written consent
• Upload or transmit any malicious code, viruses, or harmful content
• Use the Platform to book travel for personal (non-commercial) use
• Misrepresent your identity or professional credentials

6. Flight Search, Booking & Pricing

6.1 Accuracy of Data

Flight availability and pricing data is sourced in real time from third-party providers. Cloudymonkey makes no warranty that prices, availability, or schedules are accurate, complete, or up to date at the time of display. Prices may change between search and booking.

6.2 Booking Intermediary

When a booking is placed through the Platform, Cloudymonkey acts solely as a technology intermediary. The contract for carriage is between the passenger and the airline. Cloudymonkey is not a travel agent, tour operator, or carrier and accepts no liability for flight delays, cancellations, denied boarding, or any other operational matter.

6.3 Pricing Intelligence

The "Intelligence" tab and margin recommendations provided by the Platform are algorithmic suggestions based on heuristic modelling. They do not constitute financial or commercial advice. You remain solely responsible for the pricing decisions you make to your clients. Cloudymonkey accepts no liability for margin losses arising from use of or reliance on these recommendations.

7. Intellectual Property

• The Platform, including all software, algorithms, data models, UI design, brand assets, and content, is the intellectual property of Cloudymonkey.com and is protected by UK and international copyright law
• You are granted a limited, non-exclusive, non-transferable licence to use the Platform during your subscription period
• You retain ownership of any data you input into the Platform (client names, booking references, notes)
• By using the Platform, you grant us a limited licence to use aggregated, anonymised usage data to improve our services and pricing models

8. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you acknowledge and agree to our data processing practices as described therein.

If you process personal data of your clients through the Platform (e.g. entering passenger details for a booking), you are the data controller and Cloudymonkey is a data processor. You are responsible for ensuring you have a lawful basis to share that data with us.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Platform is provided "as is" and "as available" without warranties of any kind, express or implied
• Cloudymonkey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity
• Our total aggregate liability to you in any 12-month period shall not exceed the total subscription fees you paid to us in that period
• Nothing in these Terms limits liability for death, personal injury, fraud, or any matter that cannot be limited by law under the laws of England and Wales

10. Service Availability

We aim for high availability but do not guarantee uninterrupted access to the Platform. We may suspend access for scheduled maintenance, security updates, or events outside our reasonable control. We will provide reasonable advance notice of planned maintenance where possible.

11. Termination

We reserve the right to suspend or terminate your account immediately and without notice if:

• You breach these Terms
• We have reasonable grounds to believe your use is fraudulent or unlawful
• You fail to pay subscription fees

Upon termination, your right to use the Platform ceases immediately. We will retain your data in accordance with our Privacy Policy retention schedule.

12. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify active subscribers of material changes via email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
